This Privacy Policy explains how we handle personal information when you visit our website, use the Soaklysoft platform, or otherwise interact with us.

Introduction

This Privacy Policy describes how Engrain AI, LLC, doing business as "Soaklysoft" ("Soaklysoft," "we," "us," or "our") collects, uses, discloses, and protects personal information in connection with our website at soaklysoft.com, our software-as-a-service platform, our mobile and field applications, and related services (collectively, the "Service"). It is part of, and incorporated into, our Terms of Use.

This policy does not apply to how our business customers use the Service to handle information about their own customers — see "Two roles: controller and processor" below.


Two Roles: Controller and Processor

We handle personal information in two distinct capacities:

  • As a controller / business. When we decide how and why to process personal information — for example information about visitors to our website, prospects, and the individuals who administer or use a customer's Account — we act as a controller. This Privacy Policy governs that processing.
  • As a processor / service provider. When a business customer ("Customer") uses the Service to store and process information about its own customers, leads, employees, and contacts ("Customer Data"), we act as a processor acting on that Customer's behalf and instructions. That Customer's own privacy policy — not this one — governs how it collects and uses that data. Our handling of Customer Data is governed by our Terms of Use and, where applicable, our Data Processing Addendum. If you are an individual whose data is in a Customer's Account and you want to exercise rights over it, please contact that business directly; we will support their requests as required.

Information We Collect

Information you provide

  • Account and contact information — name, business name, email address, phone number, job title, and login credentials when you register, request a demo, or contact us.
  • Billing information — billing contact, address, and payment details. Card payments are processed by our payment processor; we do not store full card numbers.
  • Communications — the content of messages, support requests, demo inquiries, and survey or form responses you send us.

Information we collect automatically

  • Usage and device data — pages viewed, features used, referring pages, approximate location derived from IP address, browser and device type, operating system, and timestamps.
  • Cookies and similar technologies — we and our providers use cookies, pixels, and similar technologies to operate the site, remember preferences, measure performance, and understand usage. You can control cookies through your browser settings; some features may not function without them.

Information from third parties

  • We may receive information from service providers, advertising and analytics partners, lead sources you consent to, and publicly available sources, and combine it with information we hold.

How We Use Information

We use personal information to:

  • provide, operate, maintain, secure, and improve the Service;
  • create and administer Accounts and authenticate users;
  • process transactions and send related information, including invoices and renewal notices;
  • respond to inquiries, provide customer support, and communicate about the Service, including administrative and security notices;
  • send marketing and promotional communications about our products and services, where permitted (you can opt out at any time);
  • personalize content, measure and analyze usage, and develop new features;
  • detect, investigate, and prevent fraud, abuse, security incidents, and other harmful or unlawful activity; and
  • comply with legal obligations and enforce our agreements.

Where required by law, we rely on a lawful basis to process personal information, such as performance of a contract, our legitimate business interests, your consent, or compliance with a legal obligation.


How We Share Information

We do not sell your personal information. We share personal information only as described here:

  • Service providers / subprocessors. With vendors that perform services on our behalf — such as cloud hosting, payment processing, email and SMS delivery, analytics, and customer support — under contracts that require them to protect the information and use it only to provide services to us.
  • Integrations you enable. When you connect a third-party service (for example QuickBooks Online, Stripe, or a messaging provider), we exchange information with it as needed to provide the integration, at your direction.
  • Business transfers. In connection with a merger, acquisition, financing, reorganization, or sale of assets, in which case personal information may be transferred as part of that transaction.
  • Legal and safety. When we believe disclosure is necessary to comply with applicable law or legal process, to enforce our agreements, or to protect the rights, property, or safety of Soaklysoft, our customers, or others.
  • With your consent. For any other purpose disclosed to you at the time we collect the information or with your consent.

We may also share aggregated or de-identified information that cannot reasonably be used to identify you.

Text-messaging consent. Mobile phone numbers and SMS opt-in or consent information that we collect are not sold or shared with third parties or affiliates for their marketing or promotional purposes.


Cookies and Analytics

We use cookies and similar technologies for essential site functionality, preferences, security, analytics, and — where applicable — advertising measurement. Depending on your location, we honor recognized browser-based opt-out signals (such as Global Privacy Control) where required. You can manage cookies through your browser and, where offered, through our cookie controls.


Data Retention

We retain personal information for as long as needed to provide the Service, maintain business records, comply with our legal obligations, resolve disputes, and enforce our agreements. Retention periods vary based on the type of information and the purpose for which it is used. Customer Data is retained and deleted as described in our Terms of Use.


Security

We use reasonable administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, disclosure, alteration, and destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for keeping your login credentials confidential.


Your Privacy Rights

Depending on where you live, you may have rights regarding your personal information, such as the right to access, correct, delete, or receive a copy of it, to opt out of certain processing (including targeted advertising or any "sale" or "sharing" as defined by law), and to withdraw consent. Where applicable law (such as the California Consumer Privacy Act as amended, or the EU/UK GDPR) grants these rights, we honor them and will not discriminate against you for exercising them.

Categories of personal information (U.S. state-law disclosures). In the preceding 12 months we have collected the categories of personal information described in "Information We Collect" above: identifiers and contact information; commercial information such as subscription and billing records; internet and other electronic activity; approximate geolocation derived from IP address; professional information such as employer and job title; and inferences drawn from the foregoing. We collect them from the sources, use them for the business purposes, and disclose them to the categories of recipients described in this policy. We do not sell personal information, and we do not use or disclose sensitive personal information for purposes that would trigger a right to limit under applicable law. To the extent any use of advertising or analytics cookies is considered "sharing" for cross-context behavioral advertising under California law, you may opt out through the browser-based controls described above (including Global Privacy Control).

To exercise a right, contact us at logan@soaklysoft.com. We will verify your request as required and respond within the time frame required by law. You may designate an authorized agent to submit a request on your behalf; we may require proof of the agent's authority and verification of your identity. If your information is held within a Customer's Account, we will refer you to, or act on the instructions of, that Customer. You may also have the right to appeal a decision or lodge a complaint with a supervisory authority.


International Data Transfers

We are based in the United States and may process and store personal information in the United States and other countries. Where we transfer personal information across borders, we use appropriate safeguards required by applicable law, such as standard contractual clauses.


Children's Privacy

The Service is intended for businesses and is not directed to children under 16. We do not knowingly collect personal information from children. If you believe a child has provided us personal information, please contact us and we will take appropriate steps to delete it.


Marketing Choices

You can opt out of marketing emails at any time by using the unsubscribe link in those messages or by contacting us. We may still send you non-promotional messages about your Account or the Service.


Third-Party Sites and Services

Our website and the Service may contain links to, or let you enable, third-party sites and services that we do not control. This Privacy Policy does not apply to them, and we are not responsible for their content or privacy practices. Review the privacy policies of any third-party site or service you use.


Changes to This Policy

We may update this Privacy Policy from time to time. When we make material changes, we will post the updated policy with a new "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after the effective date constitutes acceptance of the updated policy.
